1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the VCorp24 ERP software ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Definitions

• "Service": The ERP software provided by VCorp24 Limited, including any updates, enhancements, and new features.
• "User": Any individual or entity that accesses or uses the Service.
• "Content": All information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials available through the Service.
• "Account": The account created by the User to access the Service.

3. Use of the Service

3.1 Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3.2 Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security of your password and accept all risks of unauthorized access to your account.

3.3 User Responsibilities

You agree to:

• Use the Service in compliance with all applicable laws, regulations, and industry standards.
• Use the Service solely for your internal business purposes.
• Not use the Service to harm or exploit minors in any way.
• Not use the Service to upload, post, or transmit any unlawful, harmful, or objectionable content.
• Not interfere with or disrupt the integrity or performance of the Service or the data contained therein.

4. Intellectual Property

4.1 Ownership

All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and images, are the exclusive property of VCorp24 Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 License

VCorp24 grants you a limited, non-exclusive, non-transferable, revocable license to use the Software and Service solely for your internal business purposes in accordance with these Terms.

4.3 Restrictions

You shall not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Software and Service.
• Reverse engineer, decompile, or disassemble any portion of the Service.

5. Fees and Payment

5.1 Payment Terms

You agree to pay all applicable fees for the Software and Service in accordance with the billing terms in effect at the time a fee or charge is due and payable. Unless otherwise agreed upon, all fees are due in advance.

5.2 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

5.3 Refunds

All payments are non-refundable except as required by law or as otherwise specified in writing by VCorp24 Limited.

6. Termination

6.1 Termination by User

You may terminate your account at any time by following the instructions provided in the Software.

6.2 Termination by VCorp24 Limited

VCorp24 Limited may terminate or suspend your access to the Software or Service immediately, without prior notice or liability, if you breach any of these Terms or for any other reason.

6.3 Effect of Termination

Upon termination, your right to use the Software and Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. International Data Transfers

To the fullest extent permitted by applicable law, in no event shall VCorp24 Limited, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Software or Service.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the Software or Service.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Software or Service by any third party.
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service.

8. Indemnification

You agree to defend, indemnify, and hold harmless VCorp24 Limited, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Software or Service.
• Your violation of any of these Terms.
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State and Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the courts located in the State and Federal Republic of Nigeria.

10. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Software or Service after any such changes constitutes your acceptance of the new Terms.
